1. About these terms

These Terms of Service ("Terms") govern your use of the eclipsemgmtagency.com website (the "Site") operated by Eclipse Management Agency ("Eclipse", "we", "our"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

2. Use of the Site

The Site is informational and intended for prospective clients of Eclipse. You agree not to use the Site to:

Submit false, misleading, or fraudulent information
Attempt to gain unauthorized access to our systems
Interfere with the Site's normal operation
Use the Site for any illegal purpose

3. Application submissions

Submitting an application through the Site does not create a contract between you and Eclipse. We review every application individually and reserve the right to accept or decline any applicant for any reason consistent with applicable law.

If we choose to work together, the terms of that engagement will be set out in a separate signed agreement. Nothing on this Site constitutes a binding offer of service.

4. Intellectual property

All content on the Site (text, design, code, logos, graphics) is owned by Eclipse or used with permission. You may not copy, reproduce, or redistribute Site content without prior written consent, except for normal browser caching and personal reference.

5. No warranties

The Site is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, or free of harmful components.

6. Limitation of liability

To the maximum extent permitted by law, Eclipse and its representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, including loss of profits, data, goodwill, or other intangible losses.

The Site may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third-party site. Use of third-party sites is at your own risk.

Your use of the Site is also governed by our Privacy Policy and our Loi 25 notice.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. Any dispute arising from or relating to these Terms or your use of the Site shall be brought exclusively in the courts of the district of Montréal, Québec.
